LICENSE AGREEMENT

 

This License Agreement applies to the purchase of one-of-one exclusive digital artworks from TAMSA STUDIO(“Licensor”).

By purchasing or downloading any artwork, you agree to this License Agreement.

1. GRANT OF LICENSE (EXCLUSIVE COMMERCIAL LICENSE)

Upon purchase, you are granted a non-transferable, exclusive commercial license to use the purchased artwork for personal and commercial purposes, subject to the terms of this Agreement.

The license is exclusive, meaning:

• Only one customer will receive the rights to use the specific artwork under this license
• The artwork will be removed from sale after purchase
• TAMSA STUDIO will not resell, relicense, or redistribute the same standalone artwork as a digital product to any other customer

You are purchasing a license to use the artwork, not ownership of the artwork itself.

2. COPYRIGHT OWNERSHIP

All copyrights and intellectual property rights remain with TAMSA STUDIO, unless explicitly transferred in a separate written agreement signed by both parties.

This Agreement does not constitute a copyright assignment.

3. PERMITTED USES

You may use the artwork in both personal and commercial projects, including but not limited to:

• Clothing and apparel
• Merchandise (stickers, prints, posters, packaging, etc.)
• Album covers, book covers, and media artwork
• Branding, marketing, and advertising materials
• Social media content and promotional campaigns
• Business, personal, or client projects

You may modify the artwork as needed for your final design, including:

• Resizing, cropping, recoloring
• Combining with other design elements
• Incorporating into composite works and finished products

The final output must be part of a completed design or product, not a redistributable asset.

4. RESTRICTIONS (PROHIBITED USES)

You may not:

• Resell, redistribute, sublicense, share, or give away the original digital files
• Upload or offer the artwork as a standalone digital product (including stock sites, marketplaces, or asset libraries)
• Sell the artwork in its original or near-original form as clipart, template, or design resource
• Claim authorship of the original artwork
• Register the artwork (or substantially similar versions) as a trademark, service mark, or copyright without prior written consent
• Use the artwork in NFTs, blockchain-based assets, or similar technologies without prior written permission
• Use the artwork for training artificial intelligence systems, machine learning models, or generative AI datasets

5. CLIENT PROJECTS

You may use the artwork in client work, provided it is incorporated into a finished design or product.

You may not:

• Transfer, sell, or share the original files with your client
• Provide the artwork as a standalone asset to clients

If a client requires full ownership, copyright transfer, or independent rights, a separate written agreement with TAMSA STUDIO is required.

6. DIGITAL FILE DELIVERY & EXCLUSIVITY LIMITATIONS

Upon purchase, TAMSA STUDIO delivers the final digital files to the licensed buyer only by email.

While this license grants exclusivity from resale and redistribution by TAMSA STUDIO, you acknowledge that:

• Digital files may be subject to unauthorized copying or misuse by third parties
• TAMSA STUDIO cannot guarantee prevention of unauthorized reproduction once preview images or content are displayed online

Any unauthorized use by third parties is not licensed or endorsed.

7. PREVIEWS & PORTFOLIO USE

TAMSA STUDIO may use:

• Preview images (including watermarked or low-resolution versions)
• Cropped or compressed versions
• Behind-the-scenes materials

for marketing, portfolio, and promotional purposes.

Unless otherwise agreed in writing, TAMSA STUDIO may also display completed works in:

• Portfolio websites
• Social media
• Promotional materials

8. TERMINATION

This license remains valid unless terminated due to breach of this Agreement.

Upon breach, TAMSA STUDIO reserves the right to revoke the license and pursue appropriate legal remedies.

9. NO TRANSFER OF RIGHTS

This license is personal to the buyer and may not be transferred, assigned, or sublicensed to any third party without written consent from TAMSA STUDIO.

10. GOVERNING LAW

This Agreement is governed by the laws of Lithuania, unless otherwise required by mandatory consumer protection laws in your country of residence.

11. AGREEMENT

By purchasing, downloading, or using the artwork, you confirm that you have read, understood, and agreed to this License Agreement.
